Purchaser Eligibility and Representations

By accessing this website, placing an order, or accepting delivery, the purchaser represents, warrants, and agrees that:

7. the purchaser will not misrepresent their identity, qualifications, intended use, organization, or jurisdiction.
8. the purchaser will restrict access to trained and authorized personnel and maintain appropriate security, records, storage conditions, and disposal procedures, and
9. the purchaser will immediately notify the seller of any suspected diversion, misuse, adverse incident, regulatory inquiry, or unauthorized resale involving the products.

The seller may request documentation establishing the purchaser’s identity, qualifications, institutional affiliation, intended research use, licences, or other compliance information. Orders may be rejected, cancelled, withheld, or reported where the seller suspects unlawful, unsafe, misleading, or prohibited activity.

Research Risks and Product Variability

Assumption of Risk and Responsibility

To the fullest extent permitted by applicable law, the purchaser assumes all risks and responsibility arising from the possession, storage, transportation, handling, testing, use, transfer, disposal, misuse, diversion, or unauthorized use of the products.

The purchaser is solely responsible for compliance with all applicable laws, regulations, licence conditions, institutional policies, workplace-safety requirements, shipping restrictions, import and export controls, and hazardous-material rules.

Indemnification

To the fullest extent permitted by applicable law, the purchaser agrees to indemnify, defend, and hold harmless the seller and its owners, directors, officers, employees, contractors, suppliers, and affiliates from claims, losses, damages, liabilities, penalties, investigations, enforcement proceedings, costs, and reasonable legal fees arising from or related to:

the purchaser’s breach of these terms;

any false or misleading purchaser representation;

prohibited, negligent, unlawful, or unauthorized use;

resale, transfer, diversion, repackaging, relabelling, or administration of a product;

injury, illness, death, contamination, property damage, or regulatory non-compliance caused by the purchaser or a third party receiving a product from the purchaser; or

the purchaser’s failure to obtain required licences, permits, approvals, or professional advice.

Nothing in these terms excludes liability that cannot legally be excluded under applicable law.

Refusal, Cancellation and Reporting

The seller reserves the right to refuse or cancel any transaction, limit quantities, suspend an account, request additional documentation, or decline shipment where the seller reasonably believes that:

the intended use may be unlawful or prohibited;

the purchaser is not qualified;

information supplied by the purchaser is inaccurate or incomplete;

a product may be diverted for human or veterinary use; or

fulfilling the transaction may create legal, regulatory, safety, fraud, or reputational risk.

The seller may preserve and disclose relevant transaction information where required by law, court order, regulatory authority, payment provider, carrier, insurer, or law-enforcement agency.

Acceptance

By completing a purchase, the purchaser confirms that they have read, understood, and accepted this notice and all applicable Terms and Conditions. The purchaser acknowledges that the seller would not supply the products without these representations and commitments.
